On 10 April 2012, "Sky Map", known as Chinese counterpart to Google Maps, settled in Karamay; on 27 August 2012, IBM entered Karamay;

IBM is the world's largest information technology and business solutions company with a century-old history. IBM believes that a smart oil field should be an oil field that can fully sense, automatically manipulate, predict trends and optimize decision-making. IBM can provide innovative and effective methods to optimize production in terms of information technology to build intelligent oilfields. With innovative technology, oilfields can make scientific decision-making, optimized management, automatic execution, real-time monitoring and integrated collaboration, so as to promote the construction of intelligent oilfields and help the transformation of oil cities. 

After officially entering Karamay, IBM said would use the concept of smart city, global practical experience and innovative technology to help build a smart industrial park, cultivate information technology talents, support Karamay's development of the information industry; help Karamay build a cloud computing center, and use cloud computing to help business models , industry models and the driving ability of regional economic reforms to fundamentally promote the construction of smart Karamay.

On 18 October 2012, the Western Satellite Application Industrial Park, the intelligent perception and location service system based on Beidou navigation technology, and the "Aerospace Neighbor" IoT data application service platform signed contracts in Karamay. On 3 September 2014, China Mobile's cloud computing data center with a total investment of more than 2 billion yuan settled in Karamay, and Huawei, IZP, ZTE, Lenovo, Hewlett-Packard, Neusoft...flocked to it.

Construction of Xinjiang Disaster Recovery Center: According to the requirements of the Communist Party of China for disaster backup/recovery of important information systems, the construction of a centralized and unified important information system remote disaster backup center is an important guarantee for maintaining stability. The total investment IRR of the project is estimated to be 9.5%, and the total investment is 730 million. The project is located in the area of the original scientific research and production office base of Xinjiang Oilfield Company, behind the production dispatch command center building.

Construction started in July 2011. Approval document: Kefa Gaifa [2010] No. 516, and land use approval document: Xinke Guotu Yushenzi [2010] No. 195. At the end of 2016, there were 156 million yuan cloud computing industrial parks under construction at the end of 2016, 20 million for a 110kv power supply system, 308 million for Huawei cloud service data center.

 Audited 2017 Financial Statements: 308 million Huawei Cloud Service Data Center under construction has been transferred to investment properties. Construction in progress at the end of 2017: 215 million cloud computing industrial park, 240 million public safety project, 300 million Karamay Medical Base.



The land area of the Data control center is 56,000 m2, the land area of the Huawei Cloud Service Center is 22,000 m2, the first phase of the cloud computing industrial park A02 area is 27,000 m2, and the second phase office building of the cloud computing A02 covers an area of 6,000 m2. None of the buildings has valid real estate certificate. The Karamay Army Reserve Engineer Corps equipment depot and bathhouse project completed in 2016 was 8.35 million.

Genocide and crime against humanity has been ongoing in Xinjiang. Despite the circumstances, IBM didn't withdraw investment in Xinjiang and didn't withdraw all the investment in China. IBM is helping China commit genocide and crime against humanity with its big data technology.

除非适用第501条豁免,所有美国国民公司都应该申报,无论是否产生了应纳税所得。

不是必须申报1120表格但选择申报1120表格的企业,需要填8832表

依据州法律成立的有限责任公司,股东数大于1人的,在申报联邦所得税时通常被视作合伙企业,填报1065表。股东数为1人的,在股东个人的申报表中申报,不填1120表。这类公司只有填了8832表,才能按1120表申报。农业企业应申报1120表。

税务年度结束后的第4个月的第15日以前。但是税务年度结束日为6月的,税务年度结束后的第3个月的第15日。如果需要延长申报期限,填写7004表

根据盖章的债券募集说明书,经浙江省政府浙政发[1998]12 号文批准,以浙江海正集团有限公司为主要发起人,联合国投兴业有限公司(1999 年更名为国投药业投资有限公司)、三龙投资(中国)有限公司及国家医药管理局四川抗菌素工业研究所、国家医药管理局上海医药工业研究院(2000 年转制为上海医药工业研究院)、中国药科大学、浙江省医药工业公司(1999 年重组为浙江英特药业有限责任公司)和第二军医大学朝晖制药厂(后改制重组为上海复星朝晖药业有限公司)等七家单位共同发起设立了浙江海正药业股份有限公司。2021年6月30日股权结构 。

国际社会和跨国公司需要谨防不受PCAOB检查的国际四大会计师事务所中国和香港分所泄密风险

不能忽略国际四大会计师事务所中共国和香港分所的业务类型:外资、跨国公司中国分公司的审计,工作人员将能接触到被审计单位的技术资料,而且由于中共政权阻碍PCAOB检查,国际四大会计师事务所的中国分所员工因此更可能肆意妄为泄漏客户商业机密。美国应该与盟国一起采取措施禁止国际四大会计师事务所中国和香港分所员工被轮换到美国、英国、日本、台湾、德国等盟国,不许国际四大会计师事务所中国和香港分所员工接触国际四大位于盟国的审计底稿。

中共政权勾结辉瑞、强生

海正药业第三方代理的供应商前五名包括辉瑞、强生的合资公司西安杨森公司。2019年从辉瑞采购的金额7.4亿,2020从辉瑞采购的金额16.6亿,海正药业这个关系里是辉瑞的客户、甲方或管道,辉瑞位列海正药业2019年末和2020年末应付账款前五名。




根据海正药业、瀚晖制药与辉瑞制药签订的系列协议,辉瑞制药承诺将部分产品转移到瀚晖制药富阳工厂生产,为此需配套建设相应的生产线。本项目于2017 年10 月在富阳区发展和改革局备案,备案文号(富阳区外商投资备案项目登记项目代码:2017-330183-27-03-061181-000)。





南京大学、生物研究院分别作出生物研究院关停的内部决议对集萃药康的影响



根据会计师回复意见:在南京大学、生物研究院(Nanjing University Nanjing Biology Medicine Academe)分别作出内部决议形成对于生物研究院关停的相关原则性处理意见之后(即2018821日之后),生物研究院方能与集萃药康开展实质谈判筹备具体合作方案,并进一步形成了关于小鼠品系转让、资产出租、人员安置等一系列明确安排。而在此之前的20184月和20187月,集萃药康与生物研究院的后续达成的相关安排和交易在当时的历史条件下不存在任何确定性安排。

集萃药康成立于20171229日,在20186月取得实验动物生产资质之前公司销售规模较小,相关生产环节委托生物研究院开展;在取得实验动物生产资质之后,集萃药康逐步自行开展相关业务。20188月生物研究院决议明确关停生物研究院,集萃药康承接受让或租赁生物研究院相关小鼠品系、设备设施、人员等具有了现实可能性,业务面貌发生了重要变化。自20189月起,集萃药康员工数量、营业收入等明显增加

20188月之后,集萃药康明确了与南京大学和生物研究院的相关安排,相继签署协议受让小鼠品系及相关知识产权、租赁生物研究院部分设备设施,同时承接部分人员等,一方面公司业务具备了快速发展的可靠预期,另一方面也意味着公司资产、业务、人员等能从法律层面与南京大学和生物研究院有一个清晰划分,明确释放了支持公司未来发展的重要信号。在此之后,集萃药康方可放手加大研发投入、广泛招募各类人才、全国性布局生产基地、不断开拓客户资源,业务经营进入快速发展的崭新时期。在此基础上,青岛国药、鼎晖投资等外部投资者方可判断集萃药康具有持续经营能力。


南京大学-南京生物医药研究院2018年第一次理事会决议内容及后续协议



 2018年8月21日,生物研究院召开2018年理事会第一次会议,其中,南京大学派出理事依据南京大学2018年6月5日党委常委会议精神予以表决,南京高新技术产业开发区派出理事未提前确认意见,而是在2018年8月21日会议当日作出表决,最终理事会达成以下主要内容:(1)生物研究院自2018年12月31日起停止经营活动;(2)挂靠于生物研究院的小鼠资源库委托集萃药康授权管理使用,管理费按市场化价格决定;(3)生物研究院现有资产根据审计评估报告,租赁给集萃药康使用,租赁协议另行商议;(4)生物研究院现有工作人员在2019年1月31日前由高翔负责妥善安臵完毕,并承诺不与南京大学和江北新区管委会发生任何纠纷。

上述决议作出后,南京大学相关职能部门以及生物研究院与集萃药康开始正式谈判和筹备合作事宜,双方经过磋商就具体事项分别签署协议、最终形成了对双方均具有法律约束力的明确安排,主要如下:

1、转让小鼠品系及相关知识产权

以2018年11月30日为评估基准日,生物研究院将其自身拥有的2,612个小鼠品系及相关知识产权按照评估价格协议转让至集萃药康。

2、部分设备设施出租

根据生物研究院2018年理事会第一次会议决议,鉴于生物研究院自2018年末停止经营活动,为避免资产闲臵、实现国有资产增值保值,生物研究院有意愿将相关资产盘活利用。同时,集萃药康当时成立时间较短,具有对外采购或租赁生产设备设施的需求。基于上述背景,经双方协商,生物研究院将其部分设备设施经评估后予以出租并签署相关协议,集萃药康自2018年12月1日起实际承租并支付租金。

3、人员安置

根据生物研究院2018年理事会第一次会议决议,鉴于生物研究院自2018年末停止经营活动,就生物研究院停止经营之后的人员安置问题予以明确。 基于上述会议精神,生物研究院向全体职工告知了生物研究院拟停止经营事宜,职工可自愿选择确定是否与集萃药康建立劳动关系。由于集萃药康与生物研究院业务相似、职工身份相近(均为合同编制而非事业编制),因此在2018年末生物研究院当时大部分职工离职之后选择重新在集萃药康处入职。

生物研究院成立背景

根据集萃药康及保荐机构对科创板发审委二次回复意见:
2009年 7 月 9 日,由于南京大学拥有实验动物小鼠品系资源和研究优势,南京市是中共科技体制改革试点城市,南京大学与南京高新技术产业开发区(现属南京江北新区管理)签署协议共同设立生物研究院 。生物研究院主要从事实验动物小鼠模型研发、生产、销售和技术服务。

2009年12月28日,南京市事业机构编制委员会下发《关于同意成立南京大学-南京生物医药研究院的批复》(宁编办字[2009]72号),同意成立生物研究院,载明“为全民事业性质,隶属南京大学领导”。2010年3月24日,南京市事业单位登记管理局核发生物研究院的《中华人民共和国事业单位法人证书》(统一社会信用代码:123201005520643019),明确举办单位为南京大学。

根据《 关于同意成立南京大学-南京生物医药研究院的批复》(宁编办字[2009]72号)》及生物研究院章程,生物研究院的主要职责为从事生物医药工程技术的研究开发;承接国家重大研究项目;实施科研成果产业化和技术服务;培育和发展创新型科技企业、生物医药高端人才。生物研究院属于国家设立的研究开发机构 。

集萃药康及保荐机构认为:因此,根据中共关于国家事业单位资产转让和科技成果转化相关法律法规,生物研究院作为研究开发机构且为独立事业单位法人,可以自主决定转让其持有的作为科技成果的小鼠品系及相关知识产权,按照科技成果转化的流程进行转让,不需报主管部门、财政部门审批或者备案。同时,小鼠品系 及相关知识产权 不涉及国家秘密、国家安全, 无需就此事项进行额外审批或备案。
《事业单位国有资产管理暂行办法 》 :国家设立的研究开发机构、高等院校 对其持有的科技成果, 可以自主决定转让、许可或者作价投资,不需报主管部门、财政部门审批或者备案 ,并通过协议定价、在技术交易市场挂牌交易、拍卖等方式确定价格。通过协议定价的,应当在本单位公示科技成果名称和拟交易价格。
《国务院关于印发实施 中华人民共和国促进科技成果转化法若干规定的通知》:(一)
国家鼓励 研究开发机构、高等院校通过转让、许可或者作价投资等方式,向企业或者其他组织转移科技成果 国家设立的研究开发机构、高等院校对其持有的科技成果, 可以自主决定转让、许可或者作价投资,除涉及国家秘密、国家安全外,不需审批或者备案

As a supplier of optoelectronic products, it has also established strategic partnerships with Baidu, ByteDance, H3C, Ruijie Networks, etc. Laser processing and series of complete sets of equipment: The AUTOBOT series of automotive thermoformed parts of the Intelligent Equipment Division’s three-dimensional five-axis laser cutting machine equipment has been standardized, and it has entered the largest thermoforming and military customers in the Communist Party of China in large quantities; launched a new series of economical laser cutting for national defense platform equipment.

Huagong Technology's laser processing and series of complete sets of equipment customers include Apple, Huawei industrial chain enterprises, Shanghai GM, Honda China, Sany Heavy Industry, Wuchuan, Zoomlion, China Railway Baoqiao, etc., which are divided into laser precision manufacturing and intelligent equipment manufacturing.
